Coaching In Agile Environments - TCA-PC Training Program Agreement


This Training Program Agreement (this “Agreement”) is entered into as of November 13, 2020 (the “Effective Date”) by and between Tandem Coaching Partners, LLC, a Texas Limited Liability Company (“Tandem”) and {{billing_first_name}} {{billing_last_name}} henceforth referred to as “Student”. Tandem and Student are also sometimes referred to herein individually as a “Party” and together as the “Parties.”

Tandem sells and the Student buys a Coaching in Agile Environments – TCA-PC course, created, managed, and taught by Tandem and its instructors (“Course”).

1.      Definitions

  • Course training session is defined as a live virtual classroom-style group teaching session led by Tandem Instructor and is a combination of a lecture-style presentation, and other activities as designed by the Instructor.
  • Group mentor session is defined as a live virtual session where the Instructor mentors a group of students on specific topics, skills, competencies, and abilities required to achieve and/or exceed the standards prescribed by Tandem for its TCA-PC certification and/or ICF-ACC or ICF-PCC accreditation.
  • Individual mentor session is defined as a live virtual session where the Instructor and the Student review Coaching Performance Evaluation Report for a session recording submitted by the Student and graded by the Instructor. The Instructor mentors the Student on specific topics, skills, competencies, and abilities required to achieve and exceed the standards prescribed by Tandem for its TCA-PC certification and/or ICF-ACC or ICF-PCC accreditation.

Course training, group mentor, and individual mentor sessions are henceforth referred to as Course Session(s).

  • Course schedule. Tandem will publish Course Sessions tentative schedule to ensure the expeditious and timely completion of the Course by the Student. The Schedule is subject to change and Tandem will communicate all the changes promptly to its Students. The approximate time for the program completion is estimated to be under 18 months and may take less or more depending on the factors outside of Tandem and Student control.
  • Distribution Channels. Tandem uses a variety of Course delivery and distribution channels, including but not limited to Course Sessions, Course Session recordings, Tandem website and other online properties Tandem owns, controls, manages, and/or maintains, social media channels, including but not limited to Slack, LinkedIn, audio recordings posted on the media Tandem owns, controls, manages, and/or maintains.
  • Course materials. Course materials comprise the course study materials, including training presentations, course sessions, and other session recordings, and any other material that Tandem makes available to its students through one or more distribution channels.
  • Course prerequisites. Tandem designates a part of the Course materials and/or activities as course prerequisites that students will require to attend, study, peruse, listen to, report on, or perform any other activities with, in order to be admitted to taking training sessions. Tandem reserves the right from time to time to change Course prerequisites in order to achieve the best learning outcomes. The Student shall be allowed to attend any Course training session only after completion of all the Course prerequisites.

2.      Course content

  • The Course consists of lectures, practices, homework, and other activities in individual and/or group settings. The course is delivered as a combination of virtual live sessions, asynchronous work, studies, research, practice, and any other activities as prescribed by Course instructors in accordance with the Tandem standards and ICF requirements for an ACTP program.
  • The Course contains and Tandem agrees to deliver the following,
  • Minimum 130 hours synchronous/asynchronous Training
  • 24 hours of coaching labs
  • 12 hours of group mentoring
  • 7 hours of individual mentoring (2 recordings review, grade, provide written feedback + mentoring session)
  • 3 hours of coach supervision 

Tandem also provides the following,

  • Unlimited lifetime access to the Course training sessions as long as those are delivered by Tandem and its Instructors. The Student may at their discretion and on their schedule attend any such training session they have already attended on the Course schedule
  • Unlimited access to all its training session recordings and other Course material.

3.      Course Instructors

  • Tandem guarantees that its Course is delivered by highly qualified Instructors who hold a PCC or higher ICF accreditation. Tandem does not guarantee a specific Instructor to run a specific Course Session and may substitute an Instructor with another without prior notice.

4.      Student Attendance, Progress, and Graduation

  • Student understands that both TCA-PC certification and ICF-ACC or ICF-PCC credential are competency-based and as such is not guaranteed to be achieved by the end of the program. Tandem guarantees the quality and consistency of its coach training, mentoring, and other programs. The Student agrees to attend all required sessions to the best of their abilities and remedy any personal academic deficiencies as prescribed by Tandem standards and Instructors.
  • Tandem shall not be held liable for the student’s not meeting the minimum standards for the TCA-PC certification and/or ICF-ACC or ICF-PCC credential, which are as follows,
  • Minimum of 130 hours synchronous/asynchronous Training
  • 24 hours of coaching labs
  • 12 hours of group mentoring
  • 7 hours of individual mentoring (2 recordings review, grade, provide written feedback, + Mentoring session)
  • 3 hours of coach supervision

Successful graduation from the program also requires

  • at least 250 coaching practice documented hours 75% of which are required to be paid hours
  • Requires TCA-PC Competency Level (corresponds to ICF-PCC proficiency level) as proved through a recorded coaching session graded by a Tandem Mentor Coach.

5.      ICF PCC Accreditation Materials

  • The Student understands that Tandem in no way promises, guarantees, or otherwise has any influence whatsoever on their achievement of the ICF-ACC and/or ICF-PCC credential. Tandem will provide the Student with the following documentation for their ICF credential application,
  • The certificate of completion specifying the name of the program, its ACTP status, and number of hours completed by the student
  • Tandem in no way promises or guarantees that the Student performance as evaluated by Tandem Mentor Coach will be at or exceed the requirements for the ICF-ACC and/or ICF-PCC level
  • Should the Student fail to attain the necessary competency level as demonstrated by the Coaching Performance Evaluation Reports, Tandem will work with the Student to arrange for remedial actions, which might include additional mentoring, recording grading. Remedial action may incur an additional fee charged by Tandem at a Tandem rate in effect for such service at the time of the service rendition.

6.      Tandem Coaching Academy – Professional Coach Certification

  • At its sole discretion and upon completion of any and all requirements of the Course as stated in chapter 4 herein, Tandem will grant the Student a certification of Tandem Coaching Academy – Professional Coach (TCA-PC).
  • The Student granted the TCA-PC certification will have the right to use its name, logo, and other attributes as granted by the Tandem and specified in a separate agreement.
  • The Student agrees to abide by all the terms, conditions, and other stipulations of the certification as put forth by Tandem in a separate agreement governing the TCA-PC certification.

7.      Program Fees

  • Course fees are due in full prior to the first class unless the student opts for a payment installment program offered by Tandem from time to time. Course fees are non refundable after the third session of the program provided the student attended at least one of those. The fees are fully refundable if the student did not attend any contact session.
  • If the Student chooses to participate in a payment installment program offered by Tandem from time to time, they understand that the total amount paid through such a program will be higher than the lump sum payment cost of the program and includes Tandem reasonable and necessary administrative costs.
  • The payment plan is administered in an automatic manner through Tandem’s preferred payment vendor. The student agrees to ensure that payments are transmitted to Tandem on time as per the schedule established at the commencement of the payment plan.
  • Tandem reserves the right to bar Student from continuing with the program should the student fail to transmit the payment and does not remedy the delinquency within three calendar days.
  • The delinquency of fifteen or more calendar days will result in Student’s termination from the program and the forfeiture of all payments that have been made to date.

8.      Miscellaneous

  • Confidentiality. The Student agrees that all materials, content of all Course Sessions, and other sessions involving any other program participant, student, Tandem Instructor, and/or other individuals and/or entities are strictly confidential and should not be made available to anyone but the Student without a Tandem written permission.
  • Unless otherwise noted, all materials used to create this course material, including, but not limited to all text, content, images, graphics, logos, illustrations, photographs, video, audio, and other materials, as well as the designs, icons, layout, “look and feel,” and all other graphical elements of the course and all copyrights, trademarks, service marks, tradenames, patents and other intellectual property rights in any of the foregoing (collectively, the “Course Materials”) are the sole and exclusive property of Tandem (or its subsidiaries, affiliates, or designees) or its third-party licensors, and are protected by U.S. laws and international treaties. The Student understands that they do not become the owner of these Course Materials but are entitled to use them only in conjunction with this specific course.
  • Notwithstanding anything to the contrary stated in this Agreement, the Student is not permitted to copy, reproduce, modify, republish, present, upload, download, post, sell, lease, license, rent, transfer or in any manner distribute or otherwise use or permit others to use any Course or Course Materials or any copies thereof. The Student must not reverse engineer, decompile or disassemble or copy any Course or Course Materials for use in any other electronic or printed format.
  • Tandem has the right to pursue any and all remedy available at its own discretion, including but not limited to an immediate Student termination from the program and the rescission of their access and rights to any Course Material, and revocation of their Tandem Certification, if any, should the Student violate or in any other ways infringes on Tandem’s rights.
  • Nature of Relationship. The relationship between the Parties is that of a buyer and service provider. Nothing contained in this Agreement shall be construed as creating any agency, partnership, joint venture, or other forms of joint enterprise, employment or fiduciary relationship between the Parties, and neither Party shall have authority to contract for or bind the other Party in any manner whatsoever.
  • Publicity. Student shall not issue or release any announcement, statement, press release or other publicity or marketing materials relating to this Agreement, or otherwise use Tandem’s trademarks, service marks, trade names, logos, symbols, or brand names, except as necessary and expressly allowed and permitted by Tandem.
  • Entire Agreement; Binding Agreement. This Agreement, together with all amendments and attachments executed by the Parties in accordance herewith, constitutes the entire agreement of the Parties and supersedes all prior and contemporaneous negotiations and agreements, oral or written, regarding the subject matter hereof. All prior and contemporaneous negotiations and agreements are deemed incorporated and merged into this Agreement and are deemed to have been abandoned if not so incorporated. No representations, oral or written, are being relied upon by either Party in executing this Agreement other than the express representations of this Agreement. This Agreement cannot be changed or terminated without the express written consent of the Parties. This Agreement shall be binding upon and inure to the benefit of the Parties and their respective heirs, legal and personal representatives, successors, and permitted assigns, as the case may be.
  • Assignment. This Agreement may not be assigned by either Party without the other Party’s prior written consent; provided, that Tandem may assign the Agreement to any successor in interest that acquires or succeeds to all, substantially all, or part of the assets of Tandem as a result of a merger, reorganization, consolidation, acquisition, partnership agreement, or similar transaction.
  • Governing Law and Venue. THIS AGREEMENT SHALL BE GOVERNED AND CONSTRUED UNDER AND IN ACCORDANCE WITH THE LAWS OF THE STATE OF TEXAS AS AN AGREEMENT MADE AND TO BE PERFORMED THEREIN. Instructor and Tandem each agree to submit itself to the jurisdiction of the Federal or State courts located in Dallas County, Texas, in any action which may arise out of this Agreement and said courts shall have exclusive jurisdiction over all disputes between Instructor and Tandem pertaining to this Agreement and all matters related thereto. However, Tandem may seek judicial relief in any court of competent jurisdiction in actions to obtain injunctive relief for enforcement of Tandem’s rights to confidential and proprietary information or materials.
  • Severability. The invalidity or unenforceability of one or more provisions of this Agreement shall not affect the validity or enforceability of any of the other provisions hereof, and this Agreement shall be construed in all respects as if such invalid or unenforceable provisions were omitted.
  • Notices. All notices, requests, demands, and other communications to any Party or given under this Agreement will be in writing and delivered personally, by overnight delivery or courier, by registered mail, or by electronic transmission (with confirmation of receipt of transmission) to the Parties at the address or electronic mail address indicated beneath their respective signatures on the signature page of this Agreement, or at such other address and electronic mail address as a Party shall designate by written notice given to the other Party in the manner hereinabove set forth.
  • Counterparts.  This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall be deemed to be one and the same agreement. A signed copy of this Agreement delivered by facsimile, e-mail, or other means of electronic transmission shall be deemed to have the same legal effect as delivery of an original signed copy of this Agreement.
  • Headings.  The headings in this Agreement are for convenience of reference only and shall not affect the interpretation of this Agreement.

IN WITNESS WHEREOF, the Parties have executed this Agreement as of the Effective Date.
